By accessing or using Grainline (the "Service"), operated by Tree of Life Solutions ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

These terms apply to all users of the Service, including businesses and their authorised personnel.

Grainline is an inventory intelligence and demand forecasting platform designed for fashion and lifestyle brands. The Service processes your inventory and sales data to provide analytics, buying recommendations, and operational insights.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers.

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at sud@thegrainline.org if you suspect any unauthorised use of your account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not upload data you do not have the right to share, attempt to gain unauthorised access to any part of the Service, use the Service to transmit harmful or malicious code, or reverse-engineer or attempt to extract the source code of the Service.

You retain full ownership of any inventory, sales, or business data you upload to the Service ("Your Data"). By uploading Your Data, you grant us a limited, non-exclusive licence to process it solely for the purpose of providing the Service to you.

We will not access, use, or disclose Your Data except as necessary to provide the Service or as required by law. Please refer to our Privacy Policy for full details on data handling.

The Service, including its software, algorithms, design, and documentation, is the intellectual property of Tree of Life Solutions and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features.

Output reports and analytics generated from Your Data are yours to use for your internal business purposes.

Paid subscriptions are billed in advance on a monthly or annual basis. Fees are non-refundable except where required by law or as explicitly stated in a separate written agreement with us.

We reserve the right to change our pricing with 30 days' notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

To the maximum extent permitted by applicable law, Tree of Life Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or in connection with your use of the Service.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that forecasts and recommendations will be accurate. Buying decisions remain your sole responsibility.

Either party may terminate the agreement at any time. You may cancel your subscription through your account settings or by contacting sud@thegrainline.org. We may suspend or terminate your access if you breach these Terms.

Upon termination, your right to use the Service ceases immediately. You may request an export of Your Data within 30 days of termination.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tree of Life Solutions is incorporated, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by email or in-product notice at least 14 days before the change takes effect. Your continued use of the Service constitutes acceptance of the revised Terms.
